INTRODUCTION
The Federal Government of Nigeria through the
Federal Ministry of Health and Social Welfare is desirous of entering into a
Public Private Partnership arrangement with a Service Provider for the Rehabilitation,
Re-equipping and Upgrading of Six Selected Federal Teaching Hospitals tagged
the 3rd Phase Federal Government/CPL Medical Group Limited Special Presidential
Intervention Projects in the Tertiary Health Sector.
OBC Compliance Certificate has been granted by
the Infrastructure Concession Regulatory Commission (ICRC) and the Federal
Executive Council (FEC) has granted approval for the engagement of a
Transaction Advisor to review/develop the Full Business Case for the Project.
The Federal Ministry of Health and Social
Welfare hereby seeks to engage the services of a Transaction Advisor to develop
the Full Business Case and provide advisory services and support to the
Ministry’s Project Delivery Team [PDT] for the Rehabilitation, Re-equipping and
Upgrading of the following Federal Teaching Hospitals.
i.
University of Nigeria Teaching Hospital, Enugu (South
East);
ii.
National Hospital, Abuja (North Central);
iii.
University College Hospital, Ibadan (South West);
iv.
Usman Dan Fodio University Teaching Hospital, Sokoto
(North West);
v.
University of Uyo Teaching Hospital, Uyo (South
South); and
vi.
Abubakar Tafawa Balewa University Teaching Hospital,
Bauchi (North East)

SCOPE OF SERVICES
2.1
Executive Summary Review: Confirm that the
overall purpose and objectives of the Outline Business case is clear and
concise. And that it effectively communicates the project’s goals and benefits
2.2
Feasibility Analysis:
i.
Re-assess the financial viability of the
project based on current macro-economic realities. This should include a review
of the cost-benefit analysis; including capital and operational expenses,
revenue projection and expected returns on investment.
ii.
Ensure that risks are properly identified and
managed.
iii.
Provide recommendations for improving the
business case
2.3
Implementation Plan and Timelines
i. Evaluate the feasibility of the project’s implementation plan
i.
Review the project timeline, milestones and
key deliverables to ensure they are realistic and achievable
ii.
Develop an Implementation Plan for
deliverables covering the scope of services of the transaction advisor.
1.1
Key Performance Indicators (KPIs) and Success
Metrics: Review the proposed KPIs to ensure they are appropriate for tracking
the project’s success and will provide clear indicators of performance.
1.2
Negotiations and Signing
i.
Support the Ministry in the final negotiations
with the preferred bidder
ii.
Review the Full Business Case (FBC) for the
project
iii.
Review the Draft Concession Agreement and
ensure alignment with the FBC
iv.
Support the Ministry on necessary activities
towards Commercial Close.

ELIGIBILITY
REQUIREMENTS
Reputable firms or Consortiums are hereby invited
to submit three (3) bound copies and flash drive containing the soft copy of their
Technical Qualification Documents duly signed, paginated, separated by dividers
and arranged in the order outlined hereunder:
a)
Evidence of Certificate of Incorporation issued by the Corporate Affairs
Commission (CAC) including for CAC1.1 or CAC2 and CAC7.
(or its equivalent for foreign firms)
b)
Evidence of Company’s Income Tax Clearance Certificate for the last
three (3) years valid till 31

Evidence of Pension Clearance Certificate valid till 31

Evidence of Nigeria Social Insurance Trust Fund (NSITF) Clearance

Evidence of Firm’s registration on the National Database of Federal
Contractors, Consultants and Service Providers by submission of Interim
Registration Report (IRR) expiring on 31

December, 2024 or valid
certificate issued by Bureau of Public Procurement (BPP);

g)
Sworn Affidavit:
i.
Disclosing
whether or not any officer of the relevant committees of the Federal
Ministry of Health and Social Welfare
or the Bureau of Public
Procurement is a former or present director, shareholder or has any pecuniary
interest in the bidder, and to confirm that all information presented in its
bid are true and correct in all particulars;
ii.
That the Company
is not in receivership or about to be in receivership or not a replacement for
a hitherto tax defaulting company;
iii.
That the company
is not subject to any form of insolvency or bankruptcy proceedings or the
subject of winding down petitions or proceedings;
iv.
Not to have any Director who has been convicted in any country for
criminal offences relating to fraud or financial impropriety or criminal
misrepresentation or falsification of facts relating to any matter.
h)
Company’s audited accounts for the last three (3) years (2021, 2022 and
2023) duly stamped by accredited auditor;
i)
Reference letter from a reputable Commercial Bank in Nigeria clearly
indicating willingness to provide credit facility for the execution of the
project;
j) Company’s profile with Curriculum Vitae of Key Staff to be deployed for the project including copies of Academic/Professional Certificates relevant to the assignment.
a)
Verifiable documentary evidence of the last three (3) similar jobs
executed in the last Five (5) years to include Letters of Awards with
corresponding evidence of Job Completion or Valuation Certificate (for ongoing
project);
b)
For Joint Venture/Partnership, Memorandum of Understanding (MoU) should
be provided indicating among others the Lead Partner (CAC, Tax Clearance
Certificate, Pension Clearance Certificate, ITF Compliance Certificate, NSITF
Clearance Certificate, IRR & Sworn Affidavit are compulsory for each JV
partner). (

firms are to provide evidence of equivalent documentations that shows they are
eligible to do business in their respective country
Note:
All documents for submission must be transmitted with
Covering/Forwarding letter under the Company’s Letter Head Paper bearing among
others, the Registration Number (RC) as issued by the Corporate Affairs
Commission (CAC), Contact Address, Telephone Number (Preferably GSM No.), and
e-mail address. The Letterhead paper must bear the names and nationalities of
the Directors of the Company at the bottom of the page, duly signed by the
authorized officer of the company.

GENERAL
INFORMATION
a.
All tender documents must be in English Language and signed by an official
authorised by the bidder;
b.
All tender documents submitted after the deadline for submission would
be returned un-opened;
c.
All costs will be borne by the bidders;
d.
The Tender
documents will be opened in the presence of Bidders or their representatives,
CSOs in the areas of Anti-Corruption and Transparency and Private Professional
bodies; and will be covered by video recording; invitation link will be sent to
bidders who chooses to join the bid opening online;
e.
Bidders are to Note that Only shortlisted firms shall be invited at a
later date for collection of Request for Proposal (RFP);

in accordance
with Section 28 of the Public Procurement Act, 2007 as amended is not bound to
shortlist any bidder and reserves the right to annul the procurement process at
any time without incurring any liabilities.
